Welcome to Orion Pay. These Terms of Use ("Terms") govern the access and use of our platform, which includes PIX payment gateway, cryptocurrency exchange on the Bitcoin Liquid Network, DePix stablecoin issuance.
By creating an account or using our services, you agree to these Terms. If you do not agree with any part of these Terms, do not use our services.
1. Definitions
- Platform: Refers to Orion Pay's website, applications and services
- User: Individual or legal entity that uses our services
- DePix: Stablecoin issued by Orion Pay on the Liquid Network, backed by Brazilian Real
- Liquid Network: Bitcoin second-layer network used for transactions
2. Acceptance of Terms
By accessing and using the Orion Pay Platform, you declare that you have read, understood and accepted these Terms of Use, as well as our Privacy Policy. You also declare that you have legal capacity to enter into binding contracts.
If you are accessing the Platform on behalf of a company or other legal entity, you declare that you have authority to bind such entity to these Terms.
3. Description of Services
Orion Pay offers the following services:
3.1. PIX Payment Gateway
Instant payment processing via PIX, allowing you to receive and send transfers in Brazilian Real quickly and securely.
3.2. Cryptocurrency Exchange
Cryptocurrency trading on the Bitcoin Liquid Network, including L-BTC, DePix, USDt and others. Instant conversion between fiat and cryptocurrencies.
3.3. DePix Stablecoin
Issuance and management of the DePix stablecoin, backed 1:1 in Brazilian Real, on the Bitcoin Liquid Network for fast and private transactions.
4. Registration and User Account
To use certain Platform services, you must create an account providing accurate, current and complete information.
- You are responsible for maintaining the confidentiality of your access credentials
- You are responsible for all activities that occur under your account
- You must notify immediately about any unauthorized use
- Sharing your account with third parties is not allowed
- Accounts inactive for more than 12 months may be suspended
Privacy Policy: OrionPay values your privacy and minimizes data collection — in most cases, you use the platform with just an email and password. We reserve the right, on a case-by-case basis and in accordance with applicable law, to request identification of the ultimate beneficiary of deposits.
5. Platform Use
By using the Platform, you agree to:
- Not violate laws, regulations or third-party rights
- Not use the Platform for illegal or fraudulent activities
- Not attempt to hack, violate or compromise the Platform's security
- Not create multiple accounts to bypass transaction limits, restrictions or any system limitations. Creating duplicate accounts will result in immediate blocking of all related accounts
- Not use unauthorized bots, scripts or automation
- Not perform operations that characterize money laundering
- Provide true and updated information when requested
6. Transactions and Payments
Transactions performed through the Platform are subject to the following conditions:
Primary receipt rule: By default, funds received in transactions are held for a period of 3 (three) calendar days before being released for withdrawal or transfer. This is the standard receipt period applicable to transactions on the platform.
- Transactions are processed according to the rules of the network used (PIX, Liquid, etc.)
- Minimum and maximum values may be applied depending on the transaction type
- Blockchain transactions are irreversible after confirmation
- You are responsible for the accuracy of recipient information
- We may suspend suspicious transactions for verification
- Network fees (gas fees, PIX fees) are the user's responsibility
6-A. Deposit Contingency and Hold Period
Orion Pay may apply a contingency period (temporary hold) on received deposits, during which the funds will remain as pending balance and will not be available for withdrawal or transfer. This mechanism is designed to protect the platform and its users against fraud and illicit activities. Scenarios in which a hold may be applied include, but are not limited to:
- Discrepancy between the payer's data and the data registered in the recipient's account
- Deposits made via API integration with programmatic withdrawal functionality enabled
- Deposits whose value exceeds the immediate release limits configured for the account
- Situations requiring additional security or regulatory compliance analysis (AML/OFAC)
The hold period may vary according to the applicable scenario, and may be up to 7 (seven) calendar days or more, according to the platform's internal criteria. Orion Pay reserves the right to change hold periods and conditions at any time, without prior notice.
After the contingency period ends, the held funds will be automatically credited to the user's available balance, except in cases where there is an ongoing investigation or court order.
Funds under a contingency period are recorded as "pending balance" in your account. You can track the status and expected release date of each held deposit through the platform's dashboard.
7. Fees and Charges
Orion Pay may charge fees for the following services:
- Currency conversion (variable spread)
- Liquid Network transactions (network fees)
- PIX withdrawals (according to contracted plan)
Service fees are dynamic and may be changed without prior notice. It is the client's responsibility to verify and stay updated on the current fees through the platform's fees panel before performing any operation. The updated fee table is always available on our website.
8. Privacy and Data Security
Your privacy is fundamental. We collect and process data according to our Privacy Policy. We implement robust security measures including:
- End-to-end encryption for sensitive data
- Mandatory two-factor authentication (2FA)
- Secure private key storage
- Continuous security monitoring
- Blockchain technology for transparency
9. Intellectual Property
All intellectual property rights related to the Platform, including but not limited to trademarks, logos, design, source code, content and documentation, are the exclusive property of Orion Pay or its licensors.
Reproduction, distribution, modification or commercial use of any Platform content without express written authorization is prohibited.
10. Limitation of Liability
Orion Pay is not responsible for:
- Financial losses arising from cryptocurrency volatility
- Transactions sent to incorrect addresses
- Loss of private keys or access credentials
- Temporary service interruptions for maintenance
- Third-party blockchain network unavailability
- Third-party actions, including hackers or fraud
- Regulatory or legislative changes
Important: Cryptocurrencies are volatile and high-risk assets. You acknowledge the risks involved and agree to use them at your own risk.
11. Suspension and Termination
We reserve the right to suspend or terminate your account in the following situations:
- Violation of these Terms of Use
- Suspicious or fraudulent activities
- Non-payment of fees owed
- User request
- Legal or regulatory determination
In case of termination, you may withdraw your funds within 30 days, unless there is an ongoing investigation or court order.
11-A. Right to Block and Restrict Without Prior Notice
Orion Pay reserves the right, at its sole discretion and WITHOUT PRIOR NOTICE, to:
- Block, suspend or terminate accounts in whole or in part
- Restrict or block withdrawals, deposits, conversions or any specific functionalities
- Hold funds for investigation for an indefinite period
- Apply custom limits to any user
- Refuse to provide services without justification
These actions may be applied partially or totally, temporarily or permanently, to one or more functionalities, as necessary for platform protection, AML/OFAC compliance and fraud prevention.
WARNING: All users are continuously monitored. Creating multiple accounts to bypass limits is automatically detected and will result in immediate blocking of all related accounts, without right to refund or withdrawal of amounts held during investigation.
12. Modifications to Terms
We may modify these Terms at any time. Substantial changes will be communicated with a minimum of 30 days notice by email or notification on the Platform. Continued use after the changes take effect constitutes acceptance of the new Terms.
13. Applicable Law and Jurisdiction
Portuguese: These Terms are governed by the laws of the State of New Mexico and United States federal law. Any disputes arising from these Terms shall be resolved exclusively in the competent courts of the State of New Mexico, USA, with express waiver of any other forum, however privileged it may be.

Important: Orion Pay operates under United States jurisdiction and is not subject to legal proceedings in Brazil.

14.3 Service Restrictions

- Individuals or entities listed on OFAC sanctions lists (SDN List)
- Residents of U.S.-sanctioned countries (Cuba, Iran, North Korea, Syria, Crimea)
- Any entity involved in illegal activities
- Individuals or entities that violate AML regulations
